2. Services Provided

Verified Live Transfer provides double-verified, exclusive live transfer leads that connect interested prospects with sales representatives in real time. All leads are filtered according to campaign parameters agreed upon in writing prior to campaign launch.

​We do not guarantee that leads will result in conversions or sales. The performance of leads may vary by industry, market, sales process, and external factors outside our control.

3. Ordering and Payment

All Services are subject to availability and acceptance by the Company. Pricing, billing schedules, and payment terms will be set forth in an individual agreement, campaign form, or invoice.

Unless otherwise agreed in writing:
- All payments must be made in advance.
- Fees are non-refundable, except as stated in our lead replacement or satisfaction guarantee policies.
​- Failure to pay may result in suspension or termination of Services.

4. Lead Quality and Replacement

We stand by the quality of our leads. If a lead is found to be invalid (e.g., disconnected, does not match agreed-upon parameters, or was not interested), we will verify the call recording and, at our discretion, offer a one-to-one replacement.

Requests for lead review must be submitted within seven (7) calendar days of receipt of the lead. Requests submitted after this time may not be eligible for replacement.

5. Exclusivity

Leads delivered to you are exclusive and will not be shared with or sold to other clients. However, exclusivity applies only at the moment of transfer or delivery and cannot guarantee long-term exclusivity with the individual prospect outside of the context of that lead.

6. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

- Resell, distribute, or sublicense leads to third parties
- Misrepresent your business or offerings to leads
- Engage in abusive, harassing, or misleading conduct with leads
- Use our Services to send spam or unsolicited communications

​We reserve the right to suspend or terminate your access to the Services if we believe you have violated these Terms.

7. Intellectual Property

All content, software, trademarks, service marks, logos, and other materials on our website or within our Services are the property of Verified Live Transfer or its licensors and are protected by intellectual property laws.

You may not reproduce, modify, distribute, display, or otherwise use any content from our Services without our prior written permission.

8. Confidentiality

You agree to keep confidential all non-public business, technical, and financial information disclosed by us, including but not limited to lead data, pricing, methods, and client communications. This obligation survives the termination of these Terms.

9. Disclaimers

The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy of data.

We do not guarantee that:
- The Services will be uninterrupted or error-free
- Leads will meet a particular conversion or revenue outcome
​- Calls or interactions will result in closed sales

10. Limitation of Liability

To the fullest extent permitted by law, Verified Live Transfer shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost data, or lost business opportunities arising from or related to the use of our Services, even if advised of the possibility of such damages.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time for any reason, including but not limited to breach of these Terms or non-payment.

​Upon termination, your right to use the Services will immediately cease. All sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimers, limitations of liability, confidentiality, and indemnity.

12. Indemnification

You agree to indemnify, defend, and hold harmless Verified Live Transfer and its affiliates, officers, agents, and employees from any and all claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from or relating to:

- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any interaction with or transaction involving a transferred lead

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law provisions.
